By accessing and using Pathalize, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our service.

2. Description of Service

Pathalize provides an AI-powered client portal and team task management platform that allows organizations to:

• Create branded client portals for project delivery
• Generate AI-powered checklists and task lists
• Assign and track tasks across team members
• Manage client onboarding and project workflows
• Use gamification to drive task completion
• View team leaderboards, analytics, and progress dashboards

3. User Accounts

3.1 Account Creation

You must be at least 18 years old to create an account. You agree to provide accurate, current, and complete information during the registration process.

3.2 Organization Accounts

Organization administrators are responsible for managing team member access, permissions, and billing. By inviting team members, you represent that you have authority to bind your organization to these terms.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.4 Account Termination

We reserve the right to suspend or terminate your account if you violate these terms or engage in any conduct we deem inappropriate or harmful to other users.

4. Subscription and Billing

4.1 Plans and Pricing

Pathalize offers free and paid subscription plans. Paid plans are billed per seat on a monthly or annual basis. Current pricing is available at pathalize.com/pricing.

4.2 Payment Terms

Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time; cancellations take effect at the end of the current billing period.

4.3 Seat-Based Billing

Adding team members to a paid plan will increase your monthly charge proportionally. Removing members will reduce the charge at the next billing cycle.

5. User Conduct

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Upload malicious code or harmful content
• Impersonate another person or entity
• Share client data in violation of your own agreements with those clients
• Collect or store personal data about other users without consent

6. User Content and Data

6.1 Your Content

You retain ownership of any content you create in Pathalize (projects, tasks, client data, etc.). By using our service, you grant us a license to store, process, and display your content solely for the purpose of providing the service to you.

6.2 Client Data

You are responsible for ensuring you have proper authorization to store and process any client data entered into Pathalize. We act as a data processor on your behalf for client information.

6.3 AI-Generated Content

Checklists and tasks generated by our AI features are provided as suggestions. You are responsible for reviewing, editing, and approving AI-generated content before use. We do not guarantee the accuracy or completeness of AI-generated output.

7. Intellectual Property

The Pathalize service, including its design, features, text, graphics, and software, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Service Availability

We strive to provide reliable service but do not guarantee that Pathalize will be available at all times or free from errors. We may temporarily suspend the service for maintenance or updates without prior notice.

9. Disclaimer of Warranties

Pathalize is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will meet your requirements or be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, Pathalize and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Pathalize and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service or violation of these terms.

12. Third-Party Services

Pathalize may integrate with third-party services (such as Google Sign-In and Stripe). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the updated terms on this page. Your continued use of the service after changes constitutes acceptance of the new terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Pathalize operates, without regard to its conflict of law provisions.
